Legal Counsel - Commercial (m/f/d)

Commercial Legal Counsel Responsibilities Staying up to date on and effectively interpreting and communicating new and rapidly evolving legal developments, regulations and industry standards. Drafting and reviewing terms and conditions, terms of use, FAQs, etc. relating to the design, sale and operation of our software, hardware and service offerings. Reviewing promotional and marketing materials for Siemens Healthineers products. Standardizing processes, templates, and tools to enable scalable delivery. Drafting, reviewing, and negotiating a wide variety of commercial agreements to meet business and legal requirements, including highly complex sales agreements, collaboration agreements, business associate agreements, confidentiality agreements and requests for proposals, with a focus on sales contracts for the sale or leasing of linear accelerators and related software and services in the US. Collaborating with sales, marketing, finance, and other departments to analyze business, regulatory and legal contract terms while managing legal and regulatory risks. Critical competencies Demonstrate strong planning and organization skills, including proven ability to think strategically, help create and execute plans to achieve both short-term and long-term results, and communicate with key legal and business stakeholders. A practical, proactive, collaborative and business-focused approach to problem solving with the ability to make sound decisions and exercise good judgment. Ability to operate as a team player who can effectively work with and manage competing priorities in a fast-paced environment. Ability to understand complex issues, assess risk, balance different perspectives, and provide confident and concise business-focused advice and counsel to all levels in the organization globally. Works collaboratively with local, regional, and US-based teams. Requirements 6+ years of commercial law experience in a law firm or in-house role. 3 years of experience negotiating contracts with customers/vendors in the United States. Highly polished and effective negotiation, communication, listening and drafting skills. Excellent research skills. English fluency – speak, read and write. Ability and willingness to work 1 pm – 9 pm Portugal time.
